These Terms & Conditions govern the purchase of ready-to-run business setups (“Setups”), advisory services (“Advisory”), Owner Hub membership (“Owner Hub”) and sample documents from Nemco (“Nemco”). You accept them when you pay a deposit, accept a written quote, or otherwise instruct us to begin. The inclusions list on the relevant Setup page, your written quote, our Guarantee, Earnings Disclaimer, Privacy Policy and Website Terms of Use form part of these Terms.
By purchasing you acknowledge that: starting a business involves financial risk; Nemco does not guarantee sales, clients, profit, registration, audit outcomes or any commercial result (see the Earnings Disclaimer); regulator decisions and timeframes are outside our control; and you have read the inclusions and exclusions for your Setup.
Current Setup prices (inc. GST, fixed once scoped):
The NDIS Provider Setup is offered as Business Setup + Verification Audit Prep ($5,990) or Business Setup + Certification Audit Prep ($7,990); the applicable package is confirmed in your quote after we confirm your registration groups. Advisory work is quoted in writing as a fixed price or monthly retainer. Owner Hub is billed monthly in advance after any included period (three months with every Setup) and can be cancelled at any time with effect from the next billing date. Prices may change for future customers; a price in an accepted quote is fixed for that engagement.
Setups are paid in three milestones: 40% deposit to secure your start date and commence Stage 1; 40% on completion of the middle milestone; 20% on handover. Each milestone is invoiced when the stage is complete and is payable within 7 days. Advisory projects over $2,000 are paid in milestones as quoted; retainers monthly in advance. If a payment is more than 14 days overdue we may pause work and access to Deliverables until it is made; if more than 30 days overdue we may terminate under clause 14.
Build times published on the Site (for example “2 weeks” or “1–4 weeks”) are our delivery estimates for the build and assume you respond to questions and sign-offs within five business days and complete the personal screening and licensing your industry requires. Regulator decision times are separate and typically longer. Delays caused by late information, late payment, changed requirements or third parties extend our timeframes without penalty to us. You must provide accurate information, complete required checks (for example NDIS Worker Screening, Working With Children Check, police checks), obtain insurance, attend handover sessions, and operate the business lawfully after handover.
The inclusions list is the scope. Anything outside it – additional registration groups, extra pages, custom integrations, additional brands, translation, on-site attendance, work after handover – is quoted separately and only proceeds with your written approval. Third-party fees are always excluded and payable by you directly to the third party. We do not provide legal, financial, tax or accounting advice; where a decision has those consequences we say so and refer you to a qualified professional.
Your deposit is refundable in full if you cancel before Stage 1 begins. Once Stage 1 has begun the deposit is not refundable. You may stop after any completed Stage; you keep all Deliverables from completed Stages and owe nothing for Stages not started. There are no refunds for change of mind, changed personal circumstances, delay on your part, unused Owner Hub months, or business results. Sample documents purchased separately are digital goods delivered immediately and are non-refundable once downloaded. Our Guarantee sets out the documentation refund that applies to a regulator refusal inside our scope. Nothing in this clause limits your rights under the Australian Consumer Law, including for services not delivered with due care and skill.
Our Guarantee page forms part of these Terms and sets out the 24-hour documents guarantee, the 48-hour fixes guarantee, the documentation refund, stop-at-any-milestone and 100% ownership, and the conditions attached to each. No other guarantee, representation or warranty is given except those implied by law that cannot be excluded.
On receipt of final payment, ownership of all Deliverables – including the entity documents, brand, website, documents, systems configurations and source files – transfers to you outright, without licence, royalty or restriction. Until final payment, Deliverables remain Nemco’s property and are licensed to you for review only. Nemco retains ownership of its methods, templates, frameworks, training materials, demo websites and know-how, and may reuse them for other clients; nothing you receive gives you the right to resell or redistribute our templates as templates. Third-party software, themes, plugins and fonts remain subject to their own licences.
Owner Hub provides regulatory monitoring, updated documents when rules change, templates, partner offers and a monthly Q&A. It is general in nature and does not replace your own compliance responsibilities or professional advice. Membership continues month to month after the included period until cancelled, and may be cancelled by either party with effect from the next billing date. The 48-hour fixes guarantee requires an active membership.
Each party keeps the other’s confidential information confidential, except where public, independently known or required by law; this survives termination. We may describe an engagement generically in marketing (industry, service type, timeframe) without identifying you. We will only name your business, use your logo or website, or publish a testimonial with your prior written consent, which you may withdraw at any time. We do not publish testimonials we cannot verify.
To the extent permitted by law, Nemco excludes liability for loss of profit, revenue, business, clients, data or opportunity, and for indirect or consequential loss, however arising. Our total liability for any claim arising from an engagement is limited to the amount you paid for that engagement, or, where the Australian Consumer Law applies and permits, to resupply of the services or payment of the cost of resupply. We are not liable for the acts, decisions, delays or failures of regulators, auditors, assessors, insurers, platforms, hosts, suppliers or other third parties.
You indemnify Nemco against claims, losses and expenses arising from your breach of these Terms, from information you gave us that was false or incomplete, or from your operation of the business after handover.
We may terminate an engagement immediately by written notice if you are more than 30 days overdue, you provide false information, you misuse our intellectual property, or you behave abusively toward our team or partners. You may terminate at any time by written notice, in which case clause 7 applies. On termination, amounts due for completed Stages remain payable, and each party returns or destroys the other’s confidential information on request.
If a dispute arises, the parties will first try to resolve it in good faith by discussion within 14 days of written notice. If unresolved, either party may refer it to mediation in Sydney administered by the Australian Disputes Centre, with costs shared equally, before commencing court proceedings (other than for urgent relief). Nothing prevents you from contacting NSW Fair Trading or the ACCC.
Neither party is liable for delay caused by events beyond its reasonable control (force majeure), other than payment obligations. These Terms are the entire agreement and may only be varied in writing. If a provision is unenforceable it is read down or severed. You may not assign these Terms without our consent; we may assign to a successor of our business. These Terms are governed by the laws of New South Wales and the parties submit to the non-exclusive jurisdiction of its courts.
